# Terms of Service — boTalks **Last Updated: February 28, 2026** *If this document is translated into other languages, the English version shall prevail in case of any discrepancies.* These Terms of Service ("Terms") govern your access to and use of the boTalks website, applications, and related services (collectively, the "Service"). The Service is independently owned and operated by Gilad Nativ, a sole proprietor based in Israel (hereinafter referred to as "the Operator", "we", "us", or "our"). By registering for an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. --- ## 0. Eligibility — Minimum Age The Service is intended exclusively for individuals who are at least 18 years of age. By registering or using the Service, you represent and warrant that you are 18 years of age or older. If you are under 18 years of age, you are not permitted to use the Service under any circumstances. The Operator reserves the right to terminate the account of any user discovered to be under the minimum age, without notice or refund. --- ## 1. SaaS License The Operator grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and use the boTalks software-as-a-service platform solely for its intended purposes. This license does not convey any ownership rights in the source code, intellectual property, algorithms, or any other component of the Service. You may not copy, reproduce, sell, resell, or exploit any portion of the Service without the Operator's prior written consent. --- ## 2. Payments, Auto-Renewal & Refunds ### A. Subscription Model The Service is provided on a subscription basis (monthly or annual) that renews automatically at the end of each billing period. You may cancel the auto-renewal at any time through the billing management panel in your account dashboard. Upon cancellation, access to paid features will continue until the end of the current paid period, after which your account will revert to the free tier. ### B. Third-Party Payment Processor All payments are processed securely through a third-party payment provider (Stripe). We do not collect or store your full credit card information. By subscribing, you agree to Stripe's terms and conditions. The Operator shall not be liable for any errors, security breaches, or service interruptions caused by the third-party payment processor. ### C. Cancellation Right (14 Days — Israeli Consumer Protection Law) In accordance with the Israeli Consumer Protection Law, 5741-1981, and its Regulations, you have the right to cancel your initial subscription transaction within 14 days from the date the transaction was made, or from the date you received these Terms of Service, whichever is later. ### D. Cancellation Fees & Refunds In the event of a cancellation within the 14-day window, you will be entitled to a refund of the subscription fee, minus a cancellation fee of 5% of the transaction value or 100 ILS (whichever is lower). Furthermore, if you have already used the Service during this period, the Operator reserves the right to deduct a proportional amount from the refund for the services already rendered. ### E. How to Exercise Your Cancellation Right To request a cancellation and refund, please send a written notice to: noamn@botalks.co. The Operator will process your request within the timeframe required by applicable law. --- ## 3. Limitation of Liability ("As-Is" Service) The Service, software, and all related content are provided on an "AS-IS" and "AS-AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Operator does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. To the maximum extent permitted by applicable law, the Operator shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages — including but not limited to financial loss, loss of data, loss of reputation, loss of goodwill, or interruption of business — arising out of or related to your use of or inability to use the Service, even if the Operator has been advised of the possibility of such damages. The Operator's total aggregate liability for any claim arising under these Terms shall not exceed the amount you paid to the Operator in the 3 months preceding the claim. --- ## 4. Acceptable Use & Prohibited Activities You agree to use the Service only for lawful purposes and in compliance with these Terms. The following activities are strictly prohibited: - Reverse engineering, decompiling, disassembling, or attempting to discover the source code or underlying algorithms of the Service. - Automated data extraction, scraping, crawling, or using any robot, spider, or similar tool to collect data from the Service. - Sharing, selling, transferring, or disclosing account credentials or access to any unauthorized third party. - Using the Service to engage in illegal activities, distribute spam, conduct phishing attacks, or facilitate any form of fraud. - Uploading, transmitting, or distributing any voice or text content that is unlawful, defamatory, obscene, highly sensitive, or that infringes upon the intellectual property rights of any third party. - Uploading content that violates the Acceptable Use Policies of our third-party AI providers (including generating hate speech, harassment, or malicious content). - Attempting to circumvent, disable, or interfere with any security features of the Service. --- ## 5. Suspension & Termination The Operator reserves the sole and absolute right to suspend access to, or permanently terminate, any user account immediately and without prior notice if it determines, in its sole discretion, that the user has violated any provision of these Terms. In the case of a material violation, the user shall not be entitled to any refund upon termination. The Operator may also suspend the Service temporarily for maintenance, security updates, or other operational reasons. Upon termination for any reason, all licenses granted to you under these Terms will immediately terminate, and you must cease all use of the Service. --- ## 6. Governing Law & Jurisdiction These Terms of Service shall be governed by and construed exclusively in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Service shall be submitted to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel, and you hereby consent to personal jurisdiction therein.
